About the instntly software XClick bv, with company number BE 0739.851.266, located at IJzerenpoortkaai 4 box 33 in 2000 Antwerp (Belgium), is the owner of the instntly software.
As service provider-supplier, XClick bv grants customers a right to use the instntly software under a subscription plan. XClick bv is referred to as 'the supplier' in this document.
Competent courts The law of the country where XClick bv is based, as supplier of the instntly software, applies. For Belgium, this is the Enterprise Court of Antwerp.
Changes to these terms XClick bv continuously aims to improve its products. If this requires changes to the GTC that benefit the service or functionality of the products, XClick bv will implement those changes. Significant changes will be communicated via a special digital newsletter.
Agreement The available instntly software remains the property of XClick bv. The customer only has a right to use the instntly software during the subscription period as stated on the invoice or under the conditions for free (trial) use.
Price and duration The agreement between the customer and XClick bv is concluded for a term corresponding to the selected pricing plan. The customer can choose from the following options:
Free trial period of 14 days
Paid monthly subscription - see website
Paid annual subscription with a duration of one year - see website
Subscription prices and their corresponding functionalities are listed on the ‘Prices’ page.
XClick bv may adjust prices. XClick bv will notify the customer in time of any increase, offering an option to cancel.
Account activation As soon as the customer creates an account via https://instntly.ai, they receive a free trial period of 14 days. This period starts immediately upon account creation.
When creating an account and/or placing an order for one of the subscription plans, the customer must explicitly:
accept these Terms and Conditions on the confirmation page and acknowledge the Privacy Policy listed there
Invoicing XClick bv invoices the use of the instntly software based on the chosen subscription plan. If an active subscription expires within 14 days, a notification will appear in the instntly environment.
Upon confirmation or renewal of the chosen subscription plan, an invoice for the selected term is sent via email in both PDF and UBL format. By ordering, the buyer agrees to receive invoices via the email address used to create the associated instntly account.
The payment term is 30 days, unless otherwise agreed. In case of full or partial non-payment 30 days after the invoice date, the invoice amount is automatically increased by 8% annual interest and a penalty of 10% with a minimum of 40 euros, and any other outstanding invoices become immediately payable. If payment is not made 30 days after the invoice date, XClick bv reserves the right to block access to ongoing services without compensation or refund.
For custom development (such as creation of an account-specific template), the customer receives a non-binding quote in advance. If the quote is accepted, the customer receives an invoice for the work performed. This billing is separate from the subscription billing
Change of subscription The customer can modify their current subscription plan, for example, when more features are needed. The subscription may also be changed if the customer's business structure changes.
Subscription changes can be requested by contacting the supplier XClick bv via hello@instntly.ai.
Termination of the agreement A. Termination by the customer
No continuation after or during the 14-day trial period
At the end of the free trial period, the customer is invited to choose from the available subscription plans. There is no automatic extension of the trial period.
If the customer does not immediately extend the agreement under a subscription plan (free or paid), the account will be kept for 1 year. This allows the customer to resume use later by starting a subscription.
To cancel and/or fully delete the account during or after the trial period, simply send an email to hello@instntly.ai.
During an active subscription
To cancel and/or fully delete the account during an active subscription, simply send an email to hello@instntly.ai.
The customer-buyer may not withdraw from a formally placed subscription order or purchase, where online confirmation of a paid subscription type or task also counts as formal acceptance.
B. Termination by XClick bv
If the customer breaches these GTC, XClick bv reserves the right—after notice of default and if not properly remedied within 8 working days—to either suspend its obligations, including service delivery, or terminate the agreement without judicial intervention, without prejudice to the right to claim compensation.
XClick bv has the right to immediately terminate the agreement if the customer fails to meet their obligations. The agreement is entered into under the condition subsequent of the customer’s bankruptcy. In case of manifest insolvency or force majeure, XClick bv reserves the right to unilaterally and immediately terminate the agreement without prior notice.
Customer data procedure after termination Before termination, the customer has the option to export the following data from the instntly environment in various formats. An overview of data types and export formats is available on the instntly documentation platform: https://instntly.ai/support
The complete instntly environment is archived for 1 year and then permanently deleted from the backup location.
Liability XClick bv guarantees that the instntly software complies with all specifications listed on the website https://instntly.ai. In case of errors, XClick bv will correct them as soon as possible.
Liability XClick bv can only be held liable for proven gross negligence or intent, and only to the extent of correcting the fault. Liability is limited to 75% of the actual amount invoiced to the customer over three years.
XClick bv is never responsible for non-material damages such as loss of income or profit, customer or contract loss, or other business consequential damage—even if proven.
As a supplier, XClick bv is not liable for mistakes made by the customer or its users, such as incorrectly generated documents using the instntly software. The customer is solely responsible for all documents created and sent.
XClick bv is also not liable if the customer or third parties acting on the customer's behalf make modifications to the instntly software, which is strictly prohibited. This responsibility lies entirely with the customer, including for their own add-ons or those from suppliers.
XClick bv and the customer are not liable to each other in cases of force majeure. Force majeure includes anything legally defined as such, including failures by suppliers, power outages, or data traffic disruptions not caused by the parties themselves.
Notification Complaints and damage notifications must, under penalty of nullity, be reported within eight (8) days after discovering the defect or from the date the customer/client should reasonably have detected it, by registered letter.
Delivery times Goods or services are delivered within the timeframe stated on the invoice, subject to normal industry or trade tolerances. Delivery delays shall not give rise to compensation or termination of the agreement.
Services The subscription includes standard support services. Support staff are available on weekdays from 9:00 to 17:00 via hello@instntly.ai. Specific customer requests may result in a custom work offer due to the nature of the request falling outside of standard support.
Customization XClick bv can assess specific settings for use of an instntly environment and, if feasible, offer a non-binding quote. This may include custom template creation or internal company training. XClick bv works on an hourly or fixed-rate basis. After acceptance of the quote, the customer receives an invoice for the delivered work.
Support Onboarding emails
To help the customer get started with the functionality and possibilities of instntly.ai, they are automatically included in an email sequence when creating an account. The customer can unsubscribe at any time (e.g., via the unsubscribe button).
Self-service
Via https://instntly.ai/support/, XClick bv provides a comprehensive guide to instntly software features. This documentation is a living document that is continuously updated and is for informational purposes only.
Support staff XClick bv offers support to the customer, where support staff assist as quickly as possible. Response time depends on the volume of incoming requests.
For certain questions and/or incidents, remote assistance via screen sharing is possible, subject to the customer's consent—e.g., via TeamViewer, Google Meet, or other specialized software. XClick bv will make suitable tools available via its website.
Support staff do not have default access to the customer’s instntly environment. However, such access may be necessary to respond to specific support questions. The customer can grant access via the ‘GDPR’ tab under ‘Company settings’ in the instntly account and revoke it at any time.
All XClick bv employees are trained to handle settings and data within an instntly environment with appropriate confidentiality.
